Welcome to Leaftally! These Terms and Conditions (“Terms”) govern your use of our software, website, and related services. Please read them carefully. By accessing or using Leaftally, you agree to these Terms.

1. Who We Are

Leaftally is a cloud-based accounting and enterprise resource planning (ERP) platform operated by LeafTally, headquartered in Nigeria. We offer tailored tools for accounting firms, small and medium-sized businesses, and professionals to manage finances, operations, and compliance.

2. Account Types

a. Firm Admins (Accounting Firms & Professional Practices)

Firm Admins can:

• Manage multiple client business profiles.
• Add/remove users within their firm or associated businesses.
• Access firm-level billing and analytics.

Admins are responsible for:

• Ensuring authorized access by staff or external users.
• Managing permissions within their accounts.
• Data compliance under client agreements.

b. Business Users (Clients of Firms or Independent Businesses)

Business users:

• Access their own company’s financial and operational data.
• Can be invited or managed by a Firm Admin or self-sign up.

Business users are responsible for maintaining the accuracy of their business data and ensuring no unauthorized access occurs under their credentials.

3. User Responsibilities

• Keep login credentials secure and private.
• Use the platform only for lawful purposes.
• Do not misuse the system (e.g., spamming, hacking, misrepresenting financials).
• Notify us immediately at [support@leaftally.com] if your account is compromised.

4. Data Ownership & Privacy

All data inputted into Leaftally by users remains the property of the user or firm. By using the platform, you grant us a license to store, back up, and process your data to provide the service.

5. API Access & Integrations

Leaftally may offer API access and integrations with third-party tools (e.g., payment gateways, payroll systems, or tax services).

By using the API:

• You agree not to abuse rate limits or access data you don’t own.
• You are responsible for any third-party tools or platforms you connect.
• API keys are confidential — treat them like passwords.

We reserve the right to suspend or limit access to our API for misuse or excessive requests.

6. Third-Party Services

Some features rely on third-party providers (e.g., payment processors, email tools, banks). We don’t control these services, and we’re not liable for their actions, downtime, or data handling practices.

It’s your responsibility to review and accept their terms separately, especially if integrating payment or banking features.

7. Fees, Billing & Subscription

• Free and paid plans are available based on features and usage.
• Paid subscriptions are billed monthly or annually.
• Payments are processed via secure third-party gateways.

By subscribing:

• You authorize automatic billing.
• You agree to keep your payment info up-to-date.
• Non-payment may lead to suspension of your account.

We may revise prices with at least 30 days’ notice.

8. License

We grant you a limited, non-exclusive, non-transferable right to use Leaftally in accordance with these Terms. You may not:

• Copy, resell, or sublicense the software.
• Reverse-engineer or attempt to access source code.
• Use the platform in a way that harms other users or the system itself.

9. Downtime and Service Interruptions

While we aim for high availability, Leaftally may occasionally be unavailable due to maintenance, upgrades, or technical issues. We will aim to notify you in advance of scheduled downtime.

We are not liable for any loss of data or business interruption due to system unavailability.

10. Termination and Cancellation

You may cancel your subscription at any time via your account dashboard. Upon cancellation:

• Access will continue until the end of your billing cycle.
• After a grace period, we may delete your data unless required to retain it legally.

We may suspend or terminate accounts for misuse, non-payment, or breach of these Terms.

11. Intellectual Property

All content and functionality within Leaftally — including code, designs, branding, and documentation — remain the intellectual property of Leaftally or its licensors.

You may not use our name, logo, or design assets without written permission.

12. Limitation of Liability

To the extent permitted by law, Leaftally will not be responsible for:

• Indirect, incidental, or consequential damages.
• Data loss due to user error or third-party failures.
• Accounting or tax issues caused by user-entered data.

Our total liability is limited to the fees you’ve paid in the last 12 months.

13. Changes to These Terms

We may update these Terms from time to time. You’ll be notified by email or in-app alerts. Continued use after updates means you accept the new Terms.

14. Governing Law
